By accessing and using Clementine ("Service"), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these Terms of Service, please do not use our Service.
2. Description of Service
Clementine is a platform that connects local farms with customers seeking Community Supported Agriculture (CSA) subscription boxes. The Service enables:
- Farms to create and manage subscription box offerings
- Customers to browse, subscribe to, and manage CSA subscriptions
- Payment processing through Stripe Connect
- Communication between farms and customers
3. User Accounts
To use certain features of the Service, you must register for an account. You agree to:
- Provide accurate, current, and complete information
- Maintain the security of your password
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized use
4. Subscriptions and Payments
4.1 For Customers
When you subscribe to a farm's CSA box:
- You authorize recurring charges to your payment method
- Charges occur according to the farm's schedule (typically weekly)
- You may cancel your subscription at any time
- Refund policies are determined by individual farms
4.2 For Farms
When you create subscription offerings:
- You must connect a Stripe account to receive payments
- Clementine charges no platform fee during early access — you keep all subscription revenue except the standard Stripe card-processing fee (2.9% + 30¢ per transaction)
- Clementine may introduce platform fees for future sign-ups with advance notice; farms that join during early access keep their free plan
- You are responsible for fulfilling all subscriptions
- You must honor cancellation and refund requests per your stated policy
5. Farm Responsibilities
Farms using the Service agree to:
- Provide accurate descriptions of subscription boxes
- Fulfill subscriptions in a timely manner
- Comply with all applicable food safety regulations
- Respond to customer inquiries promptly
- Maintain appropriate business licenses and insurance
6. Customer Responsibilities
Customers using the Service agree to:
- Provide valid payment information
- Communicate delivery preferences clearly
- Report issues promptly to the farm
- Understand that produce availability may vary seasonally
7. Prohibited Activities
You may not:
- Use the Service for any illegal purpose
- Violate any laws or regulations
- Infringe on intellectual property rights
- Attempt to interfere with the Service's operation
- Harass, abuse, or harm other users
- Provide false or misleading information
8. Intellectual Property
The Service and its original content, features, and functionality are owned by Clementine and are protected by international copyright, trademark, and other intellectual property laws.
9. Disclaimers and Limitations of Liability
The Service is provided "as is" without warranties of any kind. Clementine does not guarantee:
- That the Service will be uninterrupted or error-free
- The quality, safety, or legality of products from farms
- The accuracy of farm-provided information
- That farms will fulfill subscriptions
To the maximum extent permitted by law, Clementine shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
10. Indemnification
You agree to indemnify and hold harmless Clementine from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.
11. Termination
We may terminate or suspend your account immediately, without prior notice, for any reason, including breach of these Terms. You may terminate your account at any time by contacting us.
12. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of significant changes by posting a notice on the Service or sending you an email. Continued use of the Service after changes constitutes acceptance of the new Terms.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law provisions.
